The paper analyses Article 120-bis of the Italian Insolvency Code, focusing on the exclusive and mandatory allocation of decision-making powers to directors (and liquidators) in accessing and shaping restructuring tools. It examines the systemic implications of this choice on corporate governance and the resulting restriction of shareholders’ powers. Finally, it addresses the limits of the framework and the available remedies, in light of the main interpretative and practical issues.
