The contribution examines the recent decision of the Italian Corte di cassazione concerning the impact of legislative supervening events on long-term banking contracts. The judgment addresses the applicability of the amended statutory regime to contractual relationships already in existence, identifying the distinction between the contractual legal transaction and the contractual regulation as the decisive interpretative criterion. The Court holds that supervening legislation applies to pending contractual relationships only where it affects the contractual regulation, by means of the automatic incorporation of mandatory terms pursuant to Arts. 1339 and 1419(2) of the Italian Civil Code, whereas rules governing the validity requirements of the contract remain subject to the law in force at the time of its conclusion. After reconstructing the Court’s reasoning, the contribution analyses its systematic foundations, endorsing a dynamic conception of long-term contracts as legal relationships capable of being reshaped by ius superveniens. Particular attention is devoted to the implications of the distinction between the contractual legal transaction and contractual regulation, its relationship with the principle of non-retroactivity of legislation, and the progressive marginalisation of the doctrine of supervening nullity, highlighting the broader significance of the decisionbeyond the field of banking law.

Il contributo analizza una recente ordinanza Cassazione dedicata all’incidenza delle sopravvenienze normative nei contratti bancari di durata, prendendo le mosse dalla modifica dell’art. 117, comma 7, T.U.B. introdotta dal D.Lgs. n. 141/2010. La pronuncia affronta il problema dell’applicabilità della disciplina sopravvenuta ai rapporti già in corso, individuando quale criterio decisivo la distinzione tra fattispecie negoziale e regolamento contrattuale. La Corte afferma che le norme sopravvenute incidono sui contratti pendenti soltanto quando riguardano il regolamento del rapporto, integrandolo mediante il meccanismo dell’inserzione automatica delle clausole ex artt. 1339 e 1419, comma 2, c.c., mentre restano irrilevanti rispetto ai requisiti di validità dell’atto, disciplinati dalla legge vigente al momento della conclusione del contratto. Dopo aver ricostruito il percorso argomentativo della decisione, il contributo ne esamina i fondamenti sistematici, valorizzando la concezione dinamica del contratto di durata quale rapporto suscettibile di conformazione anche in forza dello ius superveniens. Particolare attenzione è dedicata alle ricadute della distinzione tra fattispecie e regolamento, ai rapporti con il principio di irretroattività della legge e alla progressiva marginalizzazione della categoria della nullità sopravvenuta, evidenziando la portata generale dell’arresto oltre il settore bancario.
