The comment analyzes a judgment of the United Sections of the Corte di Cassazione and addresses the issue of the private law consequences of the disbursement of a mortgage loan in excess of the maximum amount that can be financed, established by the Bank of Italy pursuant to art. 38, paragraph 2, T.U.B. The pronunciation is of great interest because it correctly excludes that exceeding this limit could lead to the nullity of the loan contarct, reaching largely acceptable conclusions both on the conditions and on the characteristics of the nullity for violation of mandatory rules. On the other hand, the further conclusion contrary to the recognition to the judge of the power to reclassify the loan contract that exceeds the limit as an ordinary mortgage loan, with consequent subtraction of the reclassified contract from the preferential regulation reserved for land loans, is not equally well founded. The Cassazione erroneously believes that such an operation of classification different from the classification chosen by the parties constitutes a violation of their explicit will, without realizing that, in this way, a formalistic nominalism is legitimized which prevents the appreciation of the actual substance of the contractual relationship, also depriving the judge, without any valid reason, of the unavoidable verification of the existence of the factual conditions for the application of the special discipline.

Il commento analizza una sentenza della Sezioni Unite e affronta il tema delle conseguenze civilistiche dell’erogazione di un mutuo fondiario in misura superiore rispetto al limite di importo massimo finanziabile, stabilito dalla Banca d’Italia in forza dell’art. 38, comma 2, T.U.B. La pronuncia si presenta di grande interesse perché correttamente esclude che il superamento di tale limite possa comportare la nullità del contratto di finanziamento, pervenendo a conclusioni in larga parte condivisibili tanto sui presupposti quanto sulle caratteristiche della nullità per violazione di norme imperative. Non altrettanto fondata si rivela, invece, l’ulteriore conclusione contraria al riconoscimento al giudice del potere di riqualificare il contratto di finanziamento che eccede il limite come ordinario mutuo ipotecario, con conseguente sottrazione del contratto riqualificato alla disciplina di favore riservata al mutuo fondiario. La Cassazione reputa erroneamente che una tale operazione di inquadramento in difformità dalla qualificazione scelta dalle parti costituisca una violazione della loro esplicita volontà, senza avvedersi che, in tal modo, si legittima un nominalismo formalistico che impedisce di apprezzare l’effettiva sostanza del rapporto contrattuale, sottraendo peraltro al giudice, senza alcuna valida ragione, l’ineludibile verifica della sussistenza dei presupposti di fatto per l’applicazione della disciplina speciale.
